Acceptance of Terms

By accessing or using Nozzles Energy Limited's mobile app, web app, or any related services ("Services"), you agree to be bound by these Terms of Use in full. If you do not agree with any part of these terms, please do not use our Services. Using the Services indicates acceptance of all terms and conditions herein.

Eligibility (Age Requirements)

Our Services are intended for users of all ages; however, if you are under 18 years old, your parent or legal guardian must review and consent to these Terms on your behalf before you use the Services. We do not knowingly allow children under 13 to use the Services, and no one under 13 may create an account. By using the Services, you affirm that you are either 18 or older, or that a parent/guardian has agreed to these Terms for you if you are a minor.

Definitions

In these Terms, "Nozzles Energy", "Company", "we", "us" or "our" refers to Nozzles Energy Limited. "User" or "you" refers to any person or entity using our Services, including individual household customers, business or estate clients, and drivers (where applicable). "Services" refers to all platforms (mobile app, web application, and driver app), products, and services provided by Nozzles Energy, including on-demand fuel ordering, delivery tracking, fuel monitoring, and related offerings.

Our Services

Nozzles Energy provides a tech-enabled on-demand fuel delivery service for diesel and other fuels. Through our mobile application (for households) and web application (for businesses and estate clients), customers can order fuel deliveries, monitor fuel levels (with compatible equipment), and track deliveries in real-time. We also provide a driver application for our delivery personnel to manage and fulfill orders. The scope of Services may include features like real-time order tracking, fuel level monitoring, secure payments, and (for business clients) credit or invoicing options. We strive to deliver fuel efficiently and transparently, optimizing the supply process for our clients. (Note: We do not currently offer subscription-based services for recurring deliveries.)

User Accounts & Registration

To use our Services, you may need to create an account. You agree to provide truthful, current, and complete information during registration and to update your details if they change. Each user (household or business) is responsible for maintaining the confidentiality of their account login credentials and for all activities that occur under their account.

Account Security: Notify us immediately if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

Ordering and Delivery

When placing a fuel order, you must provide accurate delivery details (address/location, fuel type, quantity, any access instructions). Once an order is confirmed, we will dispatch a driver to deliver the fuel to the specified location.

Real-Time Tracking: Our app may allow you to track the delivery driver's approach in real time for convenience; however, note that the displayed times are estimates and not guarantees.

Customer Responsibilities: You (or an authorized adult representative) must be present to receive the fuel delivery unless otherwise agreed. It is your responsibility to ensure that the delivery location is safe and accessible for our fuel truck (for example, that any gates are open and the area is free of hazards). If we cannot safely complete a delivery due to inaccurate instructions or unsafe conditions, we reserve the right to reschedule or cancel the delivery. In such cases, fees or price adjustments (including any applicable cancellation fee) will be communicated.

Fuel Handling and Safety

Given the flammable and regulated nature of fuel, you agree to follow any safety instructions provided during delivery. Our drivers will only dispense fuel into appropriate and approved containers or storage tanks. We will not fill any container that appears unsuitable or unsafe. You should ensure that your storage tank or generator is in good condition and can safely receive the amount of fuel ordered (e.g., there is enough empty capacity to avoid overfill). If our driver deems a delivery unsafe (for example, due to a potential tank overflow, spark/fire hazard, or other safety concern), the driver may halt or refuse the delivery until the issue is resolved, in order to protect everyone's safety.

Pricing and Payment

For household and individual customers, all orders must be paid in full at the time of ordering via the mobile app. Our app uses a third-party payment processor (Paystack) to securely handle payments. By providing your payment information, you authorize us or our payment processor to charge the order amount (and any applicable fees/taxes) to your selected payment method. We do not store your full payment card details on our servers; payment transactions are handled through Paystack's secure systems. You are responsible for any fees charged by your bank or card provider (for example, currency exchange or transfer fees, if applicable).

Business Client Credit Terms

For approved business and estate clients, Nozzles Energy may extend fuel supply on credit (invoice) terms. Eligibility for credit and the specific credit terms (such as credit limit, payment period, and billing cycle) will be established in a separate Business Account Agreement. If you are a business client with an approved credit line, you agree to pay all invoiced amounts by the due date stated on the invoice (e.g., Net 30 days, unless otherwise agreed). Overdue payments may incur late fees or interest as specified in the Business Account Agreement, and repeated or excessive late payment may result in suspension of credit privileges or Services. We reserve the right to revoke credit terms and require upfront payment from business clients who do not adhere to agreed payment schedules. Business clients are responsible for all orders placed under their account, and any disputes on delivered quantity or quality must be reported promptly (within a reasonable time of delivery) to be considered.

Cancellation and Refunds

You may cancel an order through the app or by contacting us, provided that the cancellation is done before the fuel has been dispatched for delivery. If you cancel in time, you may receive a full refund of any payment made for that order. If cancellation is requested after a driver has already been dispatched or fuel has been loaded for your order, we reserve the right to charge a cancellation fee (or deduct it from your refund) to cover costs incurred. If we are unable to complete a delivery due to our fault (e.g., driver vehicle issues, supply issues) and must cancel, you will not be charged, or you will receive a full refund if payment was already processed. Refunds, when applicable, will be processed via the original payment method (or as a credit to your business account for invoice clients) and may take several business days as per the payment processor or banking timelines.

Use of the Services (Permitted and Prohibited Conduct)

You agree to use our Services only for lawful purposes and in accordance with these Terms.

Prohibited Uses

You shall not:

• Use the app or Services to engage in any illegal or unauthorized activities, including attempting to purchase or distribute fuel for unlawful purposes.
• Tamper with or harm our systems – for example, by introducing viruses, hacking, or launching any Denial-of-Service attacks.
• Misuse the real-time tracking or any location features to stalk, harass, or otherwise harm any person.
• Impersonate any person or entity or provide false information (all account information must be truthful and belong to you).
• Reverse engineer, decompile, or attempt to extract the source code of our mobile app, web app, or any software provided by Nozzles Energy (except as permitted by law).
• Attempt to access areas of the app or servers that you are not authorized to access, or collect data from our Services via automated means (scraping) without permission.

We reserve the right to suspend or terminate your account if we determine that you have engaged in any prohibited conduct or violated these Terms.

Intellectual Property

Unless otherwise indicated, Nozzles Energy Limited (and its licensors, if any) owns all intellectual property rights in the Services, including the mobile and web applications, logos, trademarks, content, and software. All these rights are protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use our app and Services for your personal or internal business use, in accordance with these Terms. You must not copy, reproduce, distribute, sell, or republish any part of our platform or content without our prior written consent. You also must not use "Nozzles Energy" trademarks or branding without authorization. Any feedback or suggestions you voluntarily provide to us may be used by us without obligation.

Privacy and Data

Our Privacy Policy explains how we collect, use, and protect your personal data when you use our Services. By using the Services, you acknowledge that you have read and understood our Privacy Policy and agree to its terms. In particular, location data may be collected (for instance, to facilitate delivery tracking or to monitor fuel tank equipment) as described in the Privacy Policy, and by using the Services you consent to such collection. We employ the use of cookies or similar technologies on our website to enhance user experience; by using our site you consent to the use of cookies in accordance with our Privacy Policy.

Third-Party Services

Some features of our Services rely on third-party services that we do not operate, such as payment processing (handled by Paystack) and map or location services (e.g., Google Maps for showing delivery location). By using those features, you may also be subject to the terms and privacy policies of those third parties (for example, Paystack's terms for payment processing). Nozzles Energy is not responsible for the services provided by third parties. We do not guarantee continuous, error-free availability of third-party services and will not be liable for any issues or losses caused by third-party providers. However, we strive to work with reputable partners and will address any concerns within our control.

Liability and Disclaimers

Our Services (including the mobile app, web app, and fuel delivery service) are provided on an "as is" and "as available" basis without warranties of any kind, except as expressly provided in writing. To the maximum extent permitted by law, Nozzles Energy disclaims all representations and warranties (express, implied, or statutory) regarding the Services, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that the Services will be uninterrupted, error-free, or completely secure.

Limitation of Liability: In no event will Nozzles Energy Limited be liable to you for any indirect, incidental, special, consequential, or punitive damages (including but not limited to lost profits, lost savings, loss of data, or business interruption) arising out of or in connection with your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages. To the fullest extent allowed by law, our total liability for any claims arising from the Services will not exceed the amount you paid to Nozzles Energy for the specific service or order in question. If you are a business client using credit terms, our liability for any delivery or order will not exceed the invoiced amount for that delivery. These limitations apply to any cause of action, under any theory of law, whether based in contract, tort, warranty, or otherwise.

Exceptions

Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be limited or excluded under Nigerian law. If applicable law does not allow certain warranty disclaimers or liability exclusions, then we will retain the maximum limitations allowed by law.

Indemnification

You agree to indemnify, defend, and hold harmless Nozzles Energy Limited and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) that arise from your use of the Services or your violation of these Terms or any applicable law. This means that if a third party makes a claim against us because of something you did (for example, violation of a law or breach of these Terms, or an incident occurring due to your misuse of our service or fuel), you will be responsible for any costs or damages we incur as a result.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, for any reason, with or without notice. This could include adding or removing features, changing fuel offerings, or updating the software. We are not liable to you or any third party for any modification or discontinuation of Services. We may also update these Terms from time to time. If we make material changes, we will notify users through the app or website, or via email. Continued use of the Services after updates to the Terms constitutes acceptance of the revised Terms.

Termination

Nozzles Energy may suspend or terminate your account or access to Services at our discretion for any reason, including if we believe you have violated these Terms or engaged in fraudulent or illegal activities. We may do so without prior notice if necessary. You also have the right to delete your account or stop using the Services at any time. In the event of any termination (by you or by us), the provisions of these Terms which by their nature should survive (such as indemnity, limitations of liability, and governing law) will continue to apply.

Governing Law and Dispute Resolution

These Terms and any dispute arising from your use of the Services are governed by the laws of the Federal Republic of Nigeria. You agree that if any dispute or claim relating to these Terms or the Services cannot be resolved amicably through negotiations within a reasonable time, it will be submitted to the exclusive jurisdiction of the competent courts in Nigeria. We both agree to submit to the jurisdiction of Nigerian courts for any litigation. Alternatively, Nozzles Energy may elect to resolve certain disputes through arbitration or other alternative dispute resolution in Nigeria if we mutually agree to do so, but we are not obligated to use arbitration. Any legal proceedings will be conducted in English, and each party will bear its own costs unless a court or arbitrator decides otherwise.

Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms (together with any additional policies like the Privacy Policy and any applicable Business Account Agreement) constitute the entire agreement between you and Nozzles Energy regarding your use of the Services. They supersede all prior agreements, understandings, or representations on the same subject matter. In case of conflict between these general Terms and any specific agreement you have with Nozzles Energy (for example, a Business client contract), the specific agreement will prevail for the matters it explicitly covers.
